Terms of Use

By accessing or using the MarkupEditor or this web site, you agree to be bound by these Terms of Use. If you do not agree to the terms and conditions of this Agreement, in whole or in part, please do not use the MarkupEditor.

1. What This Agreement Covers
The MarkupEditor is a native macOS app for editing Markdown. The MarkupEditor app and its dependencies are built as open source. This web site (https://markupeditor.app) provides pre-built binary downloads and a paid subscription supporting development and maintenance.

2. Software License
The MarkupEditor source code is licensed under terms included in the repository. Nothing in these Terms restricts your rights under that license.

3. Trademark and Branding
The source licensing covers the code, not the MarkupEditor name or logo. "MarkupEditor" and the MarkupEditor logo are trademarks/copyrighted material of Steven G. Harris. You may use the MarkupEditor source under the license terms of the repository and its dependencies, but you may not use the MarkupEditor name or logo without permission. In short, do not represent the MarkupEditor as your own work or associate the MarkupEditor name or logo with a work derived from it.

4. Downloads and Subscriptions

  • Evaluation Version: Free to download, no account required, functions for a two-week evaluation period.
  • Unlimited Version: Available to paid subscribers. A subscription purchases download access to a pre-built binary that does not expire and does not verify your subscription after download. Canceling your subscription does not revoke a copy you have already downloaded, it only prevents your access to additional downloads and updates.
  • Subscriptions auto-renew annually until canceled. Cancel any time from your account page. You will retain paid access through the end of the current billing period. Because a full-featured evaluation version is available, along with the full source, subscriptions are non-refundable, except where required by applicable law.
  • A complimentary subscription is available to qualified users. See the README for current criteria and the complimentary subscription process.

5. Privacy

6. Disclaimer of Warranties and Liability
The app is provided as-is, with no warranties of any kind. We do not guarantee it will meet your needs, run error-free, or that we will fix every bug.

You use the app at your own risk, and you agree not to bring any claims against us arising from that use. To the extent the law allows, we are not liable for any damages - direct, indirect, or otherwise - arising from your use of it, including problems caused by third-party services the app connects to. Some localities don't allow limiting liability this way, so this may not fully apply to you.

7. Termination
You may stop using the app or cancel your subscription at any time. Sections on Trademark, Disclaimer of Warranties, and Governing Law survive termination.

8. Governing Law
This Agreement is governed by the laws of the State of California without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and we agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within San Mateo County, California for the purpose of litigating all such disputes.

9. Severability
If any part of these Terms turns out to be unenforceable, the rest of these Terms still apply.

10. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days notice on this web site and to subscribers prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
